By Participating in the Picsearch™ Test Account Program (the “Program”) you indicate that you accept these Terms and Conditions. If you do not accept these Terms and conditions, please do not register for a Picsearch™ Test Account. This test account agreement (“Agreement”) is entered into by and between the individual or entity completing this form (“Participant”) and Picsearch AB (publ) (Swe, org.nr 556600-5145) Liljeholmsvägen 30, SE-117 61 Stockholm, Sweden, (“Picsearch”); each party herein referred to individually as “Party” and collectively as “Parties”. This Agreement shall become effective (the “Effective Date”) upon the date Picsearch accepts, via electronic mail, Participant’s request for a test account. The Parties therefore, intending to be legally bound, agree as follows: Grant of License Picsearch grants Participant a worldwide personal, limited, non-exclusive, non-sublicenseable right and license to use and evaluate, solely for non-commercial, non-public, testing and evaluation purposes only the Picsearch search and/or content sharing services and/or content delivery services (the “Picsearch Services”) subject to the terms and conditions set forth on this Agreement. Picsearch reserves the right to refuse participation to the Participant or any other participant or applicant at any time at its sole discretion. Restrictions Client may not cache, alter, modify, or reorder results from Picsearch Services for any purpose whatsoever. Participant agrees not to access the Picsearch Service for any purpose other than evaluation or testing. Term and Termination This Agreement is effective as of the Effective Date and may be terminated by either Party at any time upon fifteen (15) calendar days written notice. However, each Party’s confidentiality obligations under the other Party’s Confidential Information disclosed during the term of this Agreement will survive any such termination unless and until such Confidential Information falls within the exceptions enumerated herein. Payment Only during the term of this Agreement, and subject to all the other terms and conditions hereof, Picsearch shall provide Picsearch Services free of charge to the Participant. Confidentiality Participant shall (a) maintain Picsearch’s Confidential Information, which may include, but is not limited to any and all information that is considered confidential or proprietary to Picsearch in confidence; (b) not disclose Picsearch’s Confidential Information to any third party; (c) disclose such Confidential Information to its employees and agents only on a “need-to-know” basis; and (d) use such Picsearch’s Confidential Information only to exercise its rights and fulfill its obligations under this Agreement. Participant shall promptly return all materials embodying Picsearch’s Confidential Information immediately upon Picsearch’s request. The Participant will have no obligation of confidentiality described above with respect to any of Picsearch’s Confidential Information that is (f) public or becomes known to the public through no breach of the Participant; (g) independently developed by the Participant; (h) rightfully received from a third party; or (i) required to be disclosed by order of any administrative agency or court of competent jurisdiction; provided, however, that the Participant notifies Picsearch prior to such disclosure and gives Picsearch a reasonable opportunity to seek a protective order to contest such requirement. Intellectual Property Participant agrees that it will not (and will not allow any third party to) copy, modify, create derivative works from, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Picsearch Services. Each Party will keep title, and all other proprietary rights to their respective works and other Confidential Information. This Agreement does not constitute a license or transfer of ownership under any intellectual property rights of the either Party. Disclaimer and Limitation of Liability OTHER THAN AS EXPRESSLY SET FORTH HEREIN, PICSEARCH DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND COVENANTS OF ANY KIND, EITHER EXPRESSED, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. PICSEARCH SHALL NOT BE LIABLE FOR INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES FOR ANY REASON (INCLUDING, BUT NOT LIMITED TO LOSS OF DATA OR OTHER BUSINESS OR PROPERTY DAMAGE), EVEN IF FORESEEABLE. Agency This Agreement creates no agency, partnership, joint venture, or employment relationship and neither Partner nor its agents have any authority to bind Picsearch in any respect whatsoever. Indemnity Picsearch shall have no obligation or liability for, and Partner shall defend, indemnify and hold Picsearch harmless from and against any claim (including reasonable attorneys’ fees and costs) arising from Partner’s use of Picsearch Services and/or compliance with the terms and conditions set forth in this Agreement. Miscellaneous (a) This Agreement shall be governed by and construed under the laws of Sweden, without reference to its conflicts of law provisions. (b) Any dispute, controversy or claim arising out of or in connection with this Agreement, or the breach, termination or invalidity thereof, shall be finally settled by arbitration in accordance with the Rules for Expedited Arbitrations of the Arbitration Institute of the Stockholm Chamber of Commerce. (c) In the event that any provision contained in this Agreement, or the application of any such provision to either Picsearch or Partner, is held by a court of competent jurisdiction to be contrary to any law, the remaining provisions of this Agreement will remain in full force and effect. (d) This Agreement does not (i) create a commitment as to any product, service or prospective business relationship; or (ii) constitute solicitation of any business or the incurring of any obligation not specified herein. (e) The Participant’s obligations of confidentiality shall survive the termination of this Agreement unless and until such Confidential Information falls under the exceptions enumerated in the Confidentiality section of this Agreement. (f) Notwithstanding anything to the contrary herein, this Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, and communications, whether oral or written, between the Parties relating to the subject matter of this Agreement and all past courses of dealing or industry custom. All notices, requests or other communications called for by this Agreement will be deemed to have been given immediately if made by e-mail to licensing@picsearch.com.
